WHEREAS, the Company is a limited liability company duly incorporated in accordance with the laws of the People’s Republic of China; and having its registered office at Room2201B, 22F, Tower C, Yintai Center, No.2 Jianguomenwai Avenue, Beijing, China.
鉴于,本公司是一家依据中华人民共和国法律设立的、注册地址在北京市朝阳区建国门外大街2号银泰中心C座2201B室。
WHEREAS, the Employee is a Chinese citizen, specialized in consultancy in higher education; 鉴于:该员工为中国国籍,拥有高等教育专业咨询领域的专长;
WHEREAS, The Employee wishes to perform the work described in the Terms of Reference below, and Company wishes to hire the Employee to perform such work;
鉴于,员工同意并且希望按本合同下述条款为公司提供服务、公司建立劳动关系;公司亦同意聘用员工作为正式雇员;
NOW THEREFORE, the Company and the Employee, on the basis of their equal and self-willing negotiation, agree to enter into this Agreement and establish the employment relationship in accordance with the Employment Agreement Law of the People’s Republic of China and other relevant laws and regulations.
因此,公司和员工本着协商一致的原则,根据 《中华人民共和国劳动合同法》及其他相关法律法规同意签署该劳动合同、建立劳动关系。 1. 1.1

2. 2.1
POSITION & JOB DESCRIPTION 岗位与职责描述
According to the requirement of the Company’s operation and business, the Company hereby engages the Employee as Senior Consultant with such duties, authority and responsibilities as are normally associated with and appropriate for such positions. The Employee hereby agrees to accept this position. The Employee will report to the person as designated by the Company.
根据公司业务要求,公司聘任员工担任高级咨询顾问,员工同意接受公司的聘任。
2.2
员工直接向公司指定人员汇报工作。
The Company hires the Employee to perform work in accordance with the job description contained in Exhibit A to this Agreement. The Employee shall perform the work as described in Exhibit A.
公司可根据本合同附件的职责描述安排员工工作,员工按照附件中的职责描述履行工作职责。
2.3
In addition, or as an alternative to Employee’s normal duties, the Employee may at any time and from time to time be required to undertake on a temporary or permanent basis other duties within any department of the Company that are reasonably consistent with Employee’s position and within Employee’s capabilities as the needs of the Company's business may require.
除了员工的日常职责外,公司因为业务需要、在符合员工职位和能力的前提下,可随时要求员工承担公司其他部门的临时性或长期性的工作。
2.4
Notwithstanding the foregoing, the Company may adjust the Employee’s position or job description based on the operation and business of the Company and professional abilities, performance and physical condition of the Employee. The Employee shall accept the Company’s adjustment(s).
尽管有前述约定,但根据公司业务和运营情况,考虑员工的业务能力、工作表现和身体情况后,公司可对员工职位或工作职责进行调整。员工应接受公司的相应调整。

The Employee is not authorised to bind the Company or its parent company, or any of its related entities (“Associated Company”) or enter into, on behalf of the Company or any of its Associated Company, any contracts, deeds, agreements, assignments or other legal documents and papers that create legal obligations and liabilities on the part of the Company or any Associated Company, including but not limited to Agreement for the sale or provision of services or products, lease agreements, loans or other forms of borrowing on behalf of the Company or any Associated Company.

员工无权代表公司、公司的母公司或关联方签订任何有法律约束力的合同、契约、协议、委派书等法律文件。这些法律文件包括但不限于员工以公司或公司关联方名义签署的销售协议、 服务和货物服务协议、租赁协议、贷款或其他形式的借款协议等。
3. 3.1
REMUNERATION 工作薪酬及其他
It’s agreed by both parties that the pre-tax, gross annual base salary is [Fill in please] which shall paid to the designated bank account as instructed by the Employer. Any exchange rate (if applicable) shall be subject to the middle rate as announced by the State Administration of Foreign Exchange (http://www.safe.gov.cn) on the day for payment of the salary. In case there are any special arrangements with regard to the currency of payment, way of payment, frequency of payment and designated payment account, etc, both parties may agree separately in the form of annex.

he Company may also, at it sole discretion decide whether to pay a bonus to the Employee in accordance with the Company’s bonus policy, as amended from time to time, and according to the PRC regulations or the Company’s internal procedures. 公司也可以根据其不时修订之奖金制度、国家法规或公司的内部程序自行决定奖 金发放事宜。
The Employee shall pay the individual income tax in accordance with applicable laws and regulations. The Company shall be obliged to withhold the individual income tax for the Employee and declare to the competent tax authority on his behalf. 员工应根据税法规定缴纳个人所得税。公司负责从员工工资中扣除个人所得税并予申报、缴纳。
Both Parties agree that Employee shall check the accuracy of the paid remuneration including without limitation to base salary, bonus, overtime payment etc. by the Company in timely manner. Should there is any dispute over the amount of remuneration paid by the Company, the Employee shall notify the Company with 3 business days in written without any delay. Otherwise it shall be deemed that all the due and payable remuneration has been settled properly.
双方约定:员工对于公司支付的薪酬,包括工资、奖金、加班费等应当及时进行核查。员工对前述支付有异议时,应自收到该等支付后3个工作日内以书面方

The Employee agrees to honour the Company’s policy and keep strict confidential of any salary information.
员工同意遵守公司实行的工资保密原则,对工资信息承担严格的保密义务。
The Company shall be entitled to make a rateable deduction from Employee’s salary for items including without limitation to, time lost through accident, default or other absence, debt to the Company, cost of Company property not returned on termination of employment, economic loss caused by the Employee to the Company due to his/her negligence of job or violation of the Agreement, and others where authorised by any laws and regulations.
对于因乙方事假缺勤、欠付公司款项、未归还公司物品、因失职或违约给公司造成损失,以及其他法定事项,公司有权从员工的工资报酬中做相应的扣除。
The Company shall contribute the mandatory social security & housing fund to the Employee in accordance with applicable laws and regulations.
公司应根据相关法律为员工缴纳社会保险和住房公积金等法定福利。
The Employee shall not receive any compensation, benefits or payments from the Company in addition to the compensation, benefits or payments described in this Agreement (including its exhibit) unless otherwise specified in relevant national and local laws and regulations, or determined by the Company, in its sole discretion. 除本合同(含其附件)所述的报酬、福利和付款以外,员工无权从公司获得其它补偿、福利和付款,除非根据国家和地区相关法律法规的另行规定,或公司自行决定。

4. 4.1
WORKING HOURS 工作时间
The standard office hours are from 9:00 a.m. to 6:00 p.m. with one hour off for lunch between 1:00 p.m. and 2:00 p.m. Mondays to Fridays, or such other times as the Company may from time to time stipulate.
标准工作期间为每周一至周五自早9点至晚6:00点,其中1:00 p.m. 至2:00 p.m.为午餐时间;或者公司另行规定的其他工作时间。
4.2
Notwithstanding the foregoing, the both Parties agree that, when the local government authorities adopts measures to avoid traffic jams during peak hours or special event, or where the Company deems necessary due to production and operation, the Company may temporarily change the working hours at its sole discretion.
在当地政府采取避峰措施或有特殊事件安排、或公司因生产经营需要时,公司均可自行决定临时性、阶段性地调整工作时间。

4.3
If required by the operation and business, the Company may arrange the Employee to work overtime. The Employee shall observe the Company’s requirement and fulfil the relevant approval procedures for working overtime in accordance with the Company’s relevant policy. For the Employee who works overtime and follows the relevant approval procedures for working overtime, the Company shall pay corresponding remuneration or provide compensatory leave in accordance with the applicable laws.
如因业务需要,公司可安排员工加班。员工应按照公司的要求履行加班审批手续后方可进行加班。加班的员工应按照加班小时数获得公司依法律规定标准支付的加班费或安排倒休。
4.4
The Employee undertakes to use reasonable endeavours to ensure that he is available at such times outside normal business hours on reasonable notice to provide such additional work as the Company may require.
员工承诺尽最大努力、确保在正常的工作时间之外,经公司合理提前通知后可以履行公司要求的加班职责。
4.5
However, notwithstanding the foregoing, the Employee may, on voluntary basis, work outside these normal hours on Saturday, Sunday or holiday as well as work on night shift without addition remuneration in order to meet the requirements for business and for the proper performance of his duties.
尽管有前述约定,但员工可以在正常的工作时间之外自愿加班,即在周末、假期以及夜间轮班工作,以符合业务需要或完成个人业绩。公司不为自愿加班支付薪酬。

PAID LEAVE ENTITLEMENT 带薪休假
The Employee is entitled to days off on Chinese Public Holidays as stipulated in the Regulation on Public Holidays for National Annual Festivals and Memorial Days which takes into effect on 1st Jan.2008.
员工有权按照2008年1月1日生效的《全国年节及纪念日放假办法》享受法定假日休假权利。

The Employee is entitled to paid leave per annum in accordance with the Regulations of Paid Annual Leave of Employees which takes into effect on 1st WORKING LOCATION 工作地点

Jan.2008 and other relevant regulations. Such leave is to be taken at such times as the Company considers most convenient having regard to the requirement of the Company’s business. Notwithstanding the foregoing, it’s acknowledged and agreed by both Parties that the paid leave of the Employee under this Agreement is 5 days per year.
员工有权按照2008年1月1日生效的《职工带薪年休假条例》及相关法规的规定享受带薪年假。年假应由公司根据其业务需求,在方便、可行的时间安排进行。尽管有前述约定,双方一致知悉并同意,就员工在本合同有效期内的带薪年假可按照与公司另行达成的书面协议加以确定(该等带薪年假天数不应低于法律规定的最低天数)。
6.3
For paid leave, the payment shall be based on the Employee’s current basic rate of salary. Leave entitlement for the first and last calendar year may be taken on a pro rata basis depending on the number of days worked.
带薪年假期间的报酬应按照员工当前的基本工资标准支付。在员工入职及离职的当年度可享受的带薪年假天数应按根据员工当年工作天数、按比例计算得出。
6.4
The Employee is entitled to accumulate up to one year of his/her untaken leave to the following year. Other than that, all untaken leave shall be regarded as from the Employee’s application(s) for personal reasons unless evidenced by the Company’s prior written confirmation. Furthermore, the Employee hereby applies, and the Company hereby approves that, the Employee needs not to submit written letter(s) to the Company in terms of above application(s). Upon termination of the employment relationship, all untaken leave shall be paid by cash in amount of the product of Employee’s current basic salary rate with the due multiplier or be offset by arrangement of de facto use.
员工当年未休之年假仅可以累积至下一年度。除此之外,所有未经公司事先书面确认的未休年假应被认为是由于员工个人原因而申请不予安排。即,对于超出累积年度仍未书面提出休年假,视为员工已事先书面通知公司因个人原因放弃休假而无须再另行提起书面申请。员工离职时,所有未休年假均应依法律规定由公司按照员工当前的工资标准的法定倍数支付现金或实际安排休假予以补足。
7. 7.1
COMPANY PROPERTY 公司财物
On request and in any event on termination of Employee’s employment for any reason the Employee is required to return to the Company all company property including, if applicable, any company car, company credit or charge cards, Employee’s security pass, all keys, computer hardware and related equipment, Blackberry (or company provided cell phone), and software including discs and all documents in whatever form (including notes and minutes of meetings, customer lists, diaries and address books, computer printouts, plans, emails, projections) together with all copies (irrespective of by whom and in what circumstances such

copies were made) which are in Employee’s possession, under Employee’s control or which were made by Employee.
劳动合同不论以何种原因终止,员工均应按照公司要求返还所有公司财物,包括但不限于下述(如有):公司汽车、公司信用卡或借记卡、员工通行证、钥匙、电脑硬件、软件(磁盘等)、以及不论以何种形式存储的、由员工占用、占有或由其制作的文件(包括记录、会议纪要、客户名单、日记、地址簿、电脑打印件、计划、邮件、项目书)以及他们的副本、复印件(不论副本、复印件是何人所制,所制何用)。
7.2
If the Employee has any information relating to the Company or any Associated Company or work the Employee has carried out for the Company or any Associated Company which is stored on a computer or laptop computer which computer or lap top does not belong to the Company, this must be disclosed to the Company and the Company shall be entitled to download the information and/or supervise its deletion from the computer or laptop concerned.
如果员工在非公司所有的台式电脑、手提电脑中存储了与公司、公司关联方、或工作相关的信息,员工必须向公司披露该情形。公司有权下载该信息或监督员工从台式电脑、手提电脑中将该等信息删除。
7.3
After the return of property to the Company pursuant to this Clause, the Employee shall not retain any copies of materials or information (including hard and soft copies thereof) relating to the business or affairs of any Associated Company. The Employee shall at the request of the Company deliver to the Vice President of Human Resources or his/her designee a signed statement confirming his/her compliance with the provisions of this Clause.
员工根据本条规定归还公司财物之后,不应再留有与公司或公司关联方业务有关的材料或信息的副本、复印件(包括硬件和软件存储)。员工应按照公司的要求,向公司人力资源副总载或其指定人员递交书面声明确认已经达到本条款的要求。
8. 8.1
REPRESENTATION AND WARRANTY OF THE EMPLOYEE 员工陈述与保证
The Employee represents and warrants to the Company that the performance of Employee’s duties pursuant to the Employee’s engagement will not violate any agreements with or trade secrets of any other person or entity.
员工向公司保证其履行本劳动合同项下的工作职责不会与其他个人或机构的协议发生冲突、亦不会泄露其他方商业秘密。
8.2
The Employee further warrants that any notice period the Employee is required to give or to serve with a previous employer has expired and that by entering into this Agreement or performing any of Employee’s duties for the Company, the Employee does not violate and will not violate any contract or agreement to which the

Employee is a party and does not or will not result in a breach by the Employee of any covenant of non-disclosure or non-competition or any other covenant or agreements owed by the Employee to any person or entity other than the Company. The Employee shall indemnify and hold the Company harmless from any and all claims, suits or causes of action arising from any contract, agreement or covenant described herein to which the Employee is a party.
员工进一步保证其与前任雇主的雇佣关系已经结束且不在任何通知期内。员工签署本协议,以及在本公司履行工作职责目前和将来都不会违反其本人涉及的合同或协议,不会因此违反其向非本公司的个人或实体所作的承诺,如披露禁止、竞业禁止或其它合约之承诺。员工应保证公司不受上述合同、协议或合约的索赔要求和起诉,若发生此类索赔要求和起诉,员工应进行赔偿。
The Employee further represents and warrants to the Company that all the pre-employment personal information he/she submitted to the Company, including without limitation to, education background, employment history, credit record and non-criminal record certification as set forth on his/her CV or job application document is true and accurate. The Employee further authorizes the Company to conduct background investigation and/or reference checks before this Agreement becomes effective and from time to time during the valid term of the Agreement. 员工保证,其向公司提交的聘用前的个人资料,包括在其简历或工作申请上记录的学历和工作经历信息、或其他背景、信用、无犯罪记录证明等都是真实的,并同意公司有权在本合同生效前以及本合同有效期内不时进行背景调查。
9. 9.1
EXCLUSIVE EMPLOYMENT 全职工作
While employed by the Company, the Employee shall devote the whole of his/her time, attention and ability as is appropriate to the diligent discharge of Employee’s duties (including if necessary, working overtime) and as shall be in accordance with the policies of the Company. For this reason, the Employee is not permitted to undertake any additional work whether private or public, paid or unpaid, directly or indirectly.
根据公司规章制度以及勤勉履行职责所需,员工在任职期间,应付出全部的时间、注意力和能力,如有需要还应加班工作。因此,公司不允许员工有任何兼职工作行为,无论该等工作行为是私下的还是公开的、计酬的还是免费的、直接的还是间接的。
10. 10.1
CONFIDENTIALITY 保密条款
The Employee shall not during or after his/her employment disclose confidential information belonging to the Company. The Employee has a personal responsibility

to protect and maintain confidentiality of both the Company's and clients’ information. The Employee must not, except as authorised or required by law or the Employee’s duties, reveal any confidential information relating to the Company, its subsidiaries, its parent or associates. This obligation will continue after the termination of the Employee’s employment unless and until any such information comes into the public domain other than through any breach of this provision by the Employee.
员工不得披露属于公司的保密信息,无论是在受雇期间还是终止雇佣之后。员工对保护和维护公司和客户信息的保密性负有个人义务。员工不得不透露任何有关的公司,其附属公司,其母公司或联营公司的保密信息,除非得到授权或法律或员工的职责要求。员工雇佣终止之后,仍然负有该义务,直至任何此类信息进入公有领域,并且不是由于员工违反本条规定而造成的。
10.2
No information may be given to the Local, National or Architectural Press, unless all details have previously been agreed by the Company in writing. All telephone enquiries from the Press should be referred to the line manager, a Partner, Director, Associate Director, Associate or the Marketing Manager from the Company; or to the client if the topic is the client.
除非得到公司事先书面同意,员工不得向任何地方、国家或建筑类的新闻界披露任何信息。所有记者的电话询问,应提交公司的直接上级经理、合伙人、董事,副董事,负责人或营销经理,虽然有上述规定,但是如果该等问题是指向客户端的则应交由客户端的相关人员处理。
10.3
To protect the confidentiality of this information the Employee agrees: 为了保护保密信息,员工同意:
11.3.1 to deliver to the Company, before the end of the Employee’s employment, or if that
employment ends without notice immediately after its end, ALL documents and records belonging to the Company which are in the Employee’s possession, including all documents and records made by the Employee in the course of the Employee’s employment and relating to the affairs of the Company, including computer lists, disks or programs, diaries, client records, cards, telephone lists, pricing lists and technical data and all other tangible items in the Employee’s possession or control belonging to or containing any confidential information of the Company; and

Employee’s employment, in which event the disk, program, copy, abstract, summary shall belong to the Company and shall likewise be delivered up immediately upon termination of the Employee’s employment.
不得在任何时间,制作任何属于公司的任何文件、计算机程序或者记录的任何副本的,摘录的,摘要或全文或任何部分,除非经过合伙人特别授权或在雇佣过程中被要求这么做,在此情况下,任何磁盘,程序,复制,摘录,摘要应属于公司,并应终止雇佣后应立即被交回。
11. 11.1
COVENANT NOT TO COMPETE 竞业禁止
The Employee agrees to refrain from engaging in any competition during the term of employment. The Employee shall refrain from establishing or taking over or participating in, directly or indirectly, a competing enterprise. Furthermore, the Employee shall refrain from any contract or support for a competing enterprise. Within the scope of the business of the Company, the Employee shall refrain from engaging in any business for his/her own or other person’s account.
员工同意在其任职期间不与公司进行任何形式的竞争。员工承诺不直接或间接地参与竞争对手公司的设立、接管、不直接或间接参与竞争对手企业。员工进一步承诺:不接触、不支持竞争对手企业。员工不得为自己或他人从事与公司有竞争的业务。
12. 12.1
NON-SOLICITATION OF NOMINUM EMPLOYEES 不劝诱员工
The Employee hereby covenants and agrees that, for a period of one (1) year following the termination or expiration of this Agreement, he shall not, directly or indirectly, solicit for employment, or otherwise entice the departure of any employee working for the Company.
员工同意在劳动合同终止后的一年内不得以直接或间接的方式劝诱或怂恿公司其他员工从公司离职。
13. 13.1
NO BRIBERY 禁止行贿
The Employee may not, without prior written consent of the Company, give or accept any favours of whatever kind (including without limitation, gifts, cash, loan, entertainment and advantage) to or from any actual or potential customers or suppliers or regulatory / government / other agencies.
未经公司书面同意,员工不得向现有或潜在客户、供应商或管理/政府/其它机构提供任何形式的好处(包括但不限于,礼品、现金、借款、娱乐和有利条件),也不得从现有或潜在客户、供应商或管理/政府/其它机构获得任何形式的好处。

INTELLECTUAL PROPERTY 知识产权
The Employee will promptly disclose to the Company and keep confidential all discoveries, inventions, processes, improvements to an existing invention or process, systems, formulas, programs, copyright works, designs or technical know how conceived or made by the Employee alone or with others in the course of the Employee’s employment. The Employee will hold all such intellectual property in trust for the Company and will do everything necessary or desirable at our expense to vest the intellectual property fully in the Company and/or to secure any appropriate forms of protection for the intellectual property. Decisions as to the protection or exploitation of any intellectual property shall be in the absolute discretion of the Company.
员工应及时向公司披露其在履行雇佣职责中形成或制作的,无论是单独形成的还是在雇佣过程中随附形成的所有发现,发明,工艺,改进现有的发明或者过程,系统,配方,程式,版权作品,设计或技术,并且对该等信息进行保密。员工受公司的信托持有该等信息,并尽一切必要的或适宜的措施以使公司成为该等知识产权的所有人,及/或为该等知识产权提供任何适当形式的保护,费用由公司承担。公司有绝对的自主权决定任何知识产权的保护或开发。

The Employee must to confidentiality what during working access to intellectual property and confidential information related,, without the Company and / or the customer's written permission, otherwise employees shall not disclose to any third party intellectual property rights and confidentiality of such information.
员工应就其在工作过程中接触到的客户端相关的知识产权及保密信息进行保密,未经公司及/或客户的书面许可,员工不得向任何第三方透露该等知识产权及保密信息。

LABOUR DISCIPLINE 劳动纪律
The Employee shall strictly comply with the PRC laws and regulations. 员工应严格遵守中国法律法规。
The Employee has read through and clearly understands all the rules, policies, code of conduct guidelines and safety operation regulations (hereinafter collectively as “Company Rules”) formulated by the Company as at the date of this Agreement before his/her commencement; he acknowledges that the Policies are enacted following Company democratic procedures and has no objection toward above Policies.

则、政策、行为准则以及安全生产规定(以下统称“公司规章”)。员工认可该政策系经公司民主程序产生且对其没有异议。
15.3
The Employee shall strictly adhere to the Policies that are issued or updated from time to time, and shall be required to sign the Company’s formal undertakings to abide by such Company Rules. If the Employee materially and severely violates such Company Rules, the Company shall be entitled to suspend or immediately terminate this Agreement without any severance payment.
员工应严格遵守公司随时发布或更新的公司规章,并应按公司要求签署正式承诺书以便遵守。如果员工严重违反上述公司规章,公司有权中止或终止劳动合同,并且不给予任何经济补偿。
15.4
The Employee shall fully obey the labour discipline and work arrangement. Provided that the Employee fails to meet the above requirement and leads to labour injury and/or labour accident to him, the Company may reserve the right not to compensate; if the failure of performance leads to damage to other parties, the Employee shall undertake all corresponding legal liabilities in accordance with laws and regulations.
员工应当服从公司的劳动纪律与工作安排。如果因为未能遵守工作指令而致发生工伤及劳动事故的,公司有权不予赔偿;如因此给其他方造成损害的,员工个人应依法承担赔偿责任。
16. 16.1
LABOUR PROTECTION AND WORKING CONDITIONS 劳动保护和工作条件 The Company shall abide by the relevant laws and regulations, and provide the Employee with a proper work environment, and take protective measures to prevent occupational hazards so as to secure the Employee’s safety and health in the workplace.
公司应遵守相关法律和法规,为员工提供适当的工作环境,采取保护措施防止职业危害,以保证员工在工作场所的安全和健康。
16.2
The Company shall provide the Employee with necessary labour protection equipment according to the actual requirements of Employee’s position and relevant PRC law.
公司应根据员工岗位的实际需要和相关国家法律,提供员工必要的劳动保护设施。
16.3
Pursuant to PRC law, the Company shall provide special labour protection for employees employed in positions exposed to occupational hazards, and to female employees.

根据中国法律,公司应为处在有职业危害的岗位的职工和妇女职工提供特殊劳动保护。
16.4
The Company is responsible for providing the Employee with education and training on professional ethics, vocational techniques, and rules and regulations on work safety and occupational hygiene.
公司有义务向员工提供有关职业道德、职业技术、有关工作安全和职业卫生的规章法规的教育和培训。
16.5
Based on the actual physical requirements of the position of the Employee, the Company may annually arrange a regular physical examination for the Employee. 根据员工岗位对身体健康的实际要求,公司可每年安排员工定期检查身体。
17. 17.1
TERMINATION 合同终止
The Company may terminate this Agreement without prior notice under any of the following circumstances when the Employee, (i) is found guilty on a criminal liability suit; (ii) commits a serious malpractice or negligence which results in a significant economic loss of the Company.
公司下列情况下无需提前通知员工即可与员工终止劳动合同:(1)员工被判决承担刑事责任;(2)员工有重大过失或失职行为,营私舞弊、使公司蒙受显著经济利益损失。
17.2
The Company may terminate this Agreement after giving a thirty (30) day prior written notice or by paying one month salary in lieu of notice under any of the following circumstances when:
在下列情况下,公司有权经提前30天通知、或无需提前30日而支付一个月工资取代提前通知期,通知员工解除本协议。
(i) due to illness or non-work-related injuries, the Employee is unable to perform his/her original work or is unable to perform alternative duties as arranged by the Company, when the medical treatment period ends;
由于疾病或非因工受伤,医疗期结束后,员工仍无法继续履行本职工作也无法履行公司调岗后的工作。
(ii) the Employee is unable to perform his/her duties to an acceptable standard, even after training has been provided or adjustments have been made to his/her position; 员工无法胜任本职工作,在接受培训和岗位调整后仍无法胜任的。
(iii) a force majeure event occurs and the parties are unable to negotiate and agree upon any amendments to this Agreement in order to allow its performance. 由于不可抗力致使双方无法协商同意对履行合同进行修改。

17.3
If the Employee wishes to terminate this Agreement, he/she shall give a thirty (30) day prior written notice. The Employee agrees that the Company shall be entitled, at its sole discretion, to waive the referenced the Employee Notice Period and to accept and treat the Employee’s notice of termination as an immediate termination of the Agreement by the Employee; provided that if such waiver occurs, the Employee shall be entitled to receive his/her Salary for the Employee Notice Period. 员工可提前30天通知公司终止本合同。员工同意公司有权决定放弃员工通知期,在接受员工终止合同通知时,视为合同立即终止。该情形下,员工有权获通知期内应得的工资。
17.4
Upon the termination or expiration of this Agreement, the Employee shall, within five (5) working days, complete the procedures required for his/her departure from the Company as required by the Company, including without limitation, to transfer his/her work and return any Company’s property in his/her possession or control. 当合同终止或到期时,员工应按公司要求、在5个工作日内完成离职手续,包括但不限于归还公司物品,交接工作等。
17.5
Notwithstanding the aforesaid, once notice of termination has been given by either the Employee or the Company, the Company may, at its sole discretion, choose to suspend the Employee from the performance of his/her duties and/or exclude him/her from any premises of the Company or the Associated Company. Remuneration and other agreed benefits shall continue to be paid or provided in accordance with this Agreement or the statutory requirements despite such suspension and/or exclusion.
尽管有上述约定,但无论任何一方提出终止本合同时,公司均可以选择要求员工立即停止工作、立即离开公司或其关联公司的办公场所。工作薪酬,以及公司书面同意的其他报酬仍然应当依据本合同及法律规定继续予以支付。
17.6
Within 30 days prior to the expiration of the term of employment Agreement, this Agreement may be renewed on the basis of mutual consultation and consent. 本劳动合同期满30日前,经双方协商同意,可以续签本合同。
18. SEVERANCE FEE 经济补偿金
The Company shall pay the Employee severance fee in accordance with the relevant
national and local laws and regulations.
公司应根据国家和地区相关法律法规的规定向员工支付经济补偿金。

In case of any change to the above information, the party who makes the change shall issue a written notice to the other Party within 5 business days of the alternation. Any and all the unfavourable result(s) incurred by the failure of such notice shall be borne by the breaching Party.

19.4
Any and all issues related to this Agreement shall be notified by one Party to the other Party in writing; and only physical handover or EMS courier shall be deemed as valid and acceptable.
任何与本合同有关的需要送达给另一方的通知,必须以书面形式做出。双方仅可选用亲自递交,或中国邮政EMS特快专递方式二者之一送达至上述通讯地址;
19.5
The Employee hereby undertakes that in case he/she is unreachable (including when he/she is in hospital or loses personal freedom), his/her emergency contact person stated as above shall be his/her authorized representative with full power including without limitation to receive documents, negotiate and sign legal documents. 员工承诺,在其处于联系障碍状态(包括但不限于员工因病住院、丧失人身自由

等情形)时,其授权前述“紧急联系人”作为其全权代表。该全权代表享有接收文件、谈判与签署法律文书等全部代理权限。
19.6
Any notice shall be deemed as being received under any of the below circumstances 任何通知和文件将在如下情况下视为已被收到:
(a) In the event of personal handover, the signature time shall be deemed as the time of service;
如采用专人递送,则以交付收件人签收时为送达时间;
(b) In the event of EMS courier, 10 am of the third business day after the delivery date (not inclusive) shall be deemed as the time of service.
如采用邮寄方式,则以投邮日起(不含)第3个工作日的上午十点为送达时间;
19.7
The service of notice may be fully justified by any of the following circumstances: 任何通知和文件将在如下情况下视为已被投出: (a) Being handed over by a person;
采用专人递送,已交付专人;
(b) Being posted by China EMS with a right indication of address as above. 以中国邮政EMS特快专递方式投邮,且按上述信息写明了正确的地址。

It’s agreed by both parties that any delivery action failing to meet the above stipulation shall be deemed as voidance as origin.
双方同意,不符合上述方式的投递行为视为自始未予投递。
20. 20.1
VARIATIONS 合同变更
The Company reserves the right to make reasonable changes to any of the Employee’s terms and conditions of employment with reasonable notice. 公司有权发出合理通知,对劳动合同中有关员工部分的条款进行合理修改。
20.2
All changes will be notified to the Employee in writing. The Employee will be notified of minor changes by way of a general notice to all employees made reasonably accessible to the Employee. Unless otherwise set out in the notice, any changes shall take effect from the date of the notice in which they are set out.
所有变更通知均应由公司以书面做出。对劳动合同中的细微变更,公司可以发布一般性通知的方式通知所有员工知晓。除非通知另有规定,任何变更均应自通知发布之日起生效。

ENTIRE AGREEMENT 合同完整性

21.1
This statement of terms and conditions shall constitute the entire agreement between the Employee and the Company and is in substitution for all previous terms and conditions of employment between the Company and the Employee whether given verbally or in writing all of which are deemed to be terminated by mutual consent.
本合同条款构成了员工与公司间的完整合同,并取代之前员工与公司之间以口头或书面方式订立的任何协议规定,之前员工与公司之间以口头或书面方式订立的任何协议规定被视为终止。
22. 22.1
ASSIGNABILITY 可转让性
The Company may transfer or assign this Agreement (i) to any entity that purchases all or substantially all of the assets of the Company, (ii) to any entity that is a direct or indirect successor (whether by merger, sale of stock or transfer of assets) of the Company, or (iii) to any other Associated Company. This Agreement shall inure to the benefit of and be binding upon such successors or assigns of the Company. If this Agreement is assigned in accordance with the foregoing provisions, all references herein to the Company shall likewise be deemed to be references to the successor or assignee. The Employee may not transfer, assign or otherwise convey this Agreement or any part of the Employee’s rights or obligations herein.
公司可以转让或出让本合同给(i) 收购全部或绝大部分公司财产的实体,给(ii)直接或间接继承公司(通过合并、销售股权或转让资产方式)的实体,(iii)其它公司关联方。本合同应保障公司继承人或受让人的利益,并对公司继承人或受让人具有约束力。若本合同按照上述条款转让,则本合同中所有提到本公司之处应被认为指代其继承人或受让人。员工不可转让、出让或转移本合同,或转让、出让或转移本合同权利或义务之任何部分。
23. 23.1
ASSOCIATED COMPANY 关联公司
All Associated Company are intended third party beneficiaries of the Employee’s covenants and agreements hereunder with respect to non-disclosure, non-competition, non-solicitation, non-bribery, and protection of intellectual property.
所有关联公司都是员工所做的有关披露禁止、竞业禁止、拉拢禁止、行贿禁止和保护知识产权的承诺和协议的第三受益方。

24.1
This Agreement is being written in the English and Chinese languages. In case of any discrepancy, the Chinese version shall prevail.
本合同以中、英文双语写就,如有任何不一致,以中文版为准。
25. 25.1
DISPUTE RESOLUTION 争议解决
All disputes arising from the performance of this Agreement or in connection with this Agreement shall be resolved through friendly negotiation between the parties. If no agreement is achieved, either party may refer the dispute to the [Fill in please] labour dispute arbitration committee for arbitration. Should any of them not accept the arbitration decision, either party shall have the right to submit the dispute to the people’s court with the jurisdiction where the Company is located.
执行本合同过程中产生的任何争议应首先通过双方友好协商解决。如协商未果,任何一方有权到[Fill in please] 劳动争议仲裁委员会进行仲裁。任何对仲裁结果不满意的一方应向公司所在地法院提起司法诉讼。

The Company reserves the rights and the Employee agrees to the Company deducting any debts the Employee owns it from the Employee’s salary.

27.2
This Agreement shall be executed in two (2) original copies and each party shall hold one (1) original copy.
本合同一式两份,双方各执一份。
27.3
If any provisions of this Agreement are considered invalid or unenforceable, such invalidity or unenforceability shall not affect the validity or enforceability of other provisions hereof.
如本合同中部分条款被视为无效或没有执行力,无效或无执行效力的条款不影响合同中其他条款的效力和执行。
